Terms of Service – FinanceFlowAPI

Company Information

FinanceFlowAPI is operated by a sole proprietor registered in Ukraine.

By purchasing any subscription plan or accessing the API, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

1. Definitions

• "Service": the FinanceFlowAPI platform and API.
• "API": the application programming interface for accessing data.
• "Subscription": a prepaid access plan with defined request limits.
• "Commercial Internal License": a paid plan allowing internal business use within a single legal entity.
• "Redistribution": making data available to any third party, including via SaaS, dashboards, APIs, resale, sublicensing, or client-facing applications.

2. Service Description

The Service provides access to aggregated financial and market data via API requests. Data is collected, processed, normalized, and delivered from multiple publicly available and third-party sources, public and regulatory sources (SEC EDGAR, central banks).

The Service does not represent official exchange feeds and is not affiliated with any stock exchange, derivatives exchange, clearing house, or financial authority.

3. Account Registration

You must provide accurate information and maintain the confidentiality of your API key.

Multiple accounts per user are strictly prohibited. Circumvention attempts will result in permanent suspension without refund.

4. Subscriptions and Acceptance

All subscriptions are prepaid. By completing payment, you automatically accept these Terms.

Subscriptions remain valid until quota exhaustion or expiration.

Requests are counted per HTTP request, not per symbol, unless otherwise specified.

5. Refund Policy

All sales are final. Refunds are not guaranteed and remain solely at our discretion.

Test Plans are strictly non-refundable.

Prepaid subscriptions are non-refundable under all circumstances, including partial usage or change of business plans.

6. API Usage Restrictions

• No scraping, mirroring, bulk extraction, or database reconstruction.
• No resale, sublicensing, redistribution, or third-party exposure of data.
• No bypassing rate limits or technical safeguards.
• No use of identity masking or proxy rotation to avoid restrictions.

Violation may result in immediate termination without refund.

7. Commercial Use Policy

Standard subscription plans permit personal and internal business use only.

Public SaaS redistribution is strictly prohibited.

Redistribution includes:

• Integration into SaaS platforms
• Public dashboards
• Client-facing applications
• Providing derived or raw data to external users

8. Commercial Internal License

The Commercial Internal License permits data use strictly within a single legal entity for:

• Internal analytics and modeling
• Strategy development
• Internal decision-making systems

This license does NOT grant:

• Public data display
• SaaS redistribution
• Exchange redistribution rights
• Rights to represent data as official exchange data

The Licensee is solely responsible for regulatory compliance in their jurisdiction.

9. Data Disclaimer

All data is provided "as is" and may contain errors, delays, or inaccuracies.

FinanceFlowAPI makes no warranties regarding accuracy, completeness, timeliness, or fitness for trading purposes.

The Service is not intended to replace official exchange feeds.

10. No Exchange Affiliation

FinanceFlowAPI is not affiliated with, endorsed by, or licensed by any exchange.

We do not grant exchange redistribution rights.

Users are responsible for ensuring compliance with exchange data licensing requirements.

11. Limitation of Liability

Under no circumstances shall FinanceFlowAPI be liable for:

• Trading losses
• Regulatory penalties
• Exchange violations
• Loss of profits
• Business interruption

Total liability is strictly limited to the amount paid in the last 30 days.

12. Indemnification

You agree to indemnify and hold harmless FinanceFlowAPI from any claims, regulatory actions, damages, or legal expenses arising from:

• Your use of the Service
• Your redistribution of data
• Violation of financial regulations
• Misrepresentation of data source

13. Force Majeure

We are not liable for service interruptions caused by events beyond our control, including infrastructure failures, third-party provider outages, cyberattacks, or government actions.

14. Termination

We may suspend or terminate access at our sole discretion for violations of these Terms.

No refunds will be issued upon termination for breach.

15. Governing Law

These Terms are governed by the laws of Ukraine. All disputes shall be resolved in the courts of Ukraine.

16. Intellectual Property

The Service, including its aggregation, processing, and API structure, is protected intellectual property of FinanceFlowAPI.

You are granted a limited, non-transferable license strictly for permitted use.
